Barnes & Noble's attempt to enforce an arbitration clause in its online terms of use failed because the terms were presented via a hyperlink without requiring users to acknowledge or agree to them. The court ruled that merely placing a hyperlink to the terms at the bottom of the webpage was insufficient to establish that users had agreed to the terms, rendering the arbitration clause unenforceable.
